These Terms and Conditions (hereinafter, the "Terms") govern the relationship between Cocreator Global Value LLC, a limited liability company incorporated under the laws of the State of Wyoming, United States of America, with registered office at 159 N. Wolcott St Suite 133, Casper, WY 82601 (hereinafter, "Cocreator Global Value LLC" or "We"), and any natural or legal person (hereinafter, the "Client" or "You") who contracts our technology consulting, digital marketing, automated sales processes, and comprehensive international digital business support services (hereinafter, the "Services").
By contracting any of our Services, You accept and agree to comply with these Terms in their entirety. We ask that You read these Terms carefully before proceeding to contract any Service. If You do not agree with any of the provisions contained herein, we request that You do not contract our Services.
Cocreator Global Value LLC offers specialized services in the following areas:
a) Technology Consulting: Advisory and solutions for the optimization of technological infrastructures, software implementation, systems integration, and adoption of new technologies to improve efficiency and competitiveness.
b) Digital Marketing Strategy & Implementation: Development and execution of comprehensive digital marketing campaigns, including SEO, SEM, content marketing, social media, and email marketing, with the objective of increasing visibility, generating leads, and building brand.
c) Automated Sales Processes: Design and implementation of automated systems for lead management, customer follow-up, and sales cycle optimization, using CRM tools and marketing automation platforms.
d) Comprehensive International Digital Business Support: Advisory and support for global expansion of digital businesses, including adaptation of marketing strategies, cross-border logistics optimization, understanding of local regulations, and implementation of international payment solutions.
The specific details of each Service, its scope, deliverables, and deadlines will be defined in an individual Service Agreement (hereinafter, the "Specific Contract") that will be signed between Cocreator Global Value LLC and the Client for each project.
To contract our Services, the Client must follow the following process:
a) Initial Consultation: The Client will contact Cocreator Global Value LLC through the contact form available on our website or through the indicated communication means. In this consultation, the Client will present their needs and objectives.
b) Evaluation and Proposal: Our team will evaluate the Client's needs and, if the project aligns with our capabilities, will prepare a detailed service proposal. This proposal will include a description of the work scope, expected deliverables, estimated timeline, and fee estimation.
c) Proposal Acceptance and Specific Contract: If the Client accepts the proposal, we will proceed to draft and sign a Specific Contract. This Specific Contract will detail the particular terms and conditions of the project, including, but not limited to, the final scope of Services, delivery deadlines, responsibilities of both parties, payment structure, and any other relevant condition.
d) Service Initiation: Once the Specific Contract is signed and, where applicable, the agreed initial payment is made, Cocreator Global Value LLC will begin providing the Services.
The fees for our Services are not published on our website and will be communicated to the Client in a personalized manner in the service proposal and detailed in the Specific Contract. Fees will be established based on the complexity, scope, and duration of the project.
The Specific Contract will establish the payment method, deadlines, and billing conditions. Unless otherwise agreed, payments will be made in United States dollars (USD).
In case of payment delays, Cocreator Global Value LLC reserves the right to suspend the provision of Services until the situation is regularized, without prejudice to legal actions that may correspond for the collection of amounts owed.
Both parties agree to maintain the strictest confidentiality regarding all information, data, documents, and materials (hereinafter, "Confidential Information") that are disclosed or accessed during the provision of Services. Confidential Information includes, but is not limited to, trade secrets, business strategies, customer data, financial information, marketing plans, and any other information that is designated as confidential or that, by its nature, should be considered as such.
The confidentiality obligation will be maintained during the validity of the Specific Contract and for a period of five (5) years after its termination, unless the Confidential Information becomes public domain due to causes not attributable to the receiving party.
Unless otherwise established in the Specific Contract, all intellectual and industrial property rights over deliverables, materials, reports, software, designs, graphics, texts, and any other work result (hereinafter, the "Deliverables") created by Cocreator Global Value LLC in the framework of providing Services, will belong to Cocreator Global Value LLC until full payment of agreed fees. Once full payment is received, Cocreator Global Value LLC will assign to the Client non-exclusive, perpetual, and irrevocable usage rights over the Deliverables for the purposes for which they were created.
The Client guarantees that any material or information provided to Cocreator Global Value LLC for the provision of Services does not infringe third-party intellectual or industrial property rights, and agrees to hold Cocreator Global Value LLC harmless against any claim arising from such infringement.
Cocreator Global Value LLC commits to providing Services with maximum diligence and professionalism, using our best efforts and knowledge. However, Cocreator Global Value LLC does not guarantee specific results, as project success depends on multiple factors, including Client collaboration and market conditions.
The total responsibility of Cocreator Global Value LLC for any damage or harm arising from the provision of Services will be limited, in any case, to the total amount of fees paid by the Client for the specific Service that gave rise to the claim.
Cocreator Global Value LLC will not be responsible for indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data loss, business interruption, or reputation damage, even if advised of the possibility of such damages.
The duration of Service provision will be established in the Specific Contract. Either party may terminate the Specific Contract in the following cases:
a) By mutual agreement of the parties.
b) For serious breach of obligations established in these Terms or in the Specific Contract by the other party, provided that such breach is not remedied within fifteen (15) calendar days from written notification thereof.
c) For force majeure or fortuitous case that prevents continuation of Service provision for a period exceeding thirty (30) calendar days.
In case of early termination for causes attributable to the Client, the Client must pay Cocreator Global Value LLC the fees corresponding to Services provided up to the termination date, as well as any reasonable expenses incurred.
Cocreator Global Value LLC commits to comply with applicable regulations regarding personal data protection. Any personal data that the Client provides us will be processed in accordance with our Privacy Policy, available on our website. By accepting these Terms, the Client consents to the processing of their personal data in accordance with said Privacy Policy.
Cocreator Global Value LLC reserves the right to modify these Terms at any time. Any modification will be effective from its publication on our website. We recommend that the Client periodically review these Terms to be aware of any changes. Continued contracting of our Services after publication of modifications will constitute acceptance of the new Terms.
These Terms and any dispute or claim arising from or in relation to them or their object or formation (including non-contractual disputes or claims) will be governed and interpreted in accordance with the laws of the State of Wyoming, United States of America, without giving effect to any choice or conflict of laws provision or rule.
Any dispute, controversy, or claim arising from or in relation to these Terms or the provision of Services will be submitted to the exclusive jurisdiction of state and federal courts located in Natrona County, Wyoming, United States of America. Both parties expressly waive any other jurisdiction that may correspond to them by reason of their present or future domicile.
